Terms and Conditions for Purchase/Sale of Sound Libraries & Music
1. Introduction
These Terms and Conditions ("Agreement") govern the sale, distribution, and use of sound libraries ("Sound Library" or
"Products") offered by Stoop Life Records. ("Company," "we," "us, " or "our"). By purchasing, downloading, or using the Sound
Library, you ("Customer, " "You, " or "End User") agree to be bound by this Agreement.
2. License Grant
Upon payment, we grant the Customer a non-exclusive, non-transferable, and revocable license to use the Sound Library
according to the terms outlined in the End User License Agreement (EULA) below.
3. Ownership
All rights, title, and interest in the Sound Library, including but not limited to the sounds, samples, recordings, and any
related materials, are and remain the exclusive property of the Company or its licensors. This Agreement does not transfer
any ownership of the Sound Library to the Customer.
4. Permitted Uses
You are granted the following rights to use the Sound Library:
Personal Use: You may use the Sound Library for personal projects, music production, sound design, or other creative
work.
Commercial Use: You may use the Sound Library in commercial productions, provided you adhere to the terms and
conditions of this Agreement.
5. Prohibited Uses
The following uses of the Sound Library are prohibited:
Reselling, redistributing, sublicensing, or sharing the Sound Library or any part of it with third parties.
Using the Sound Library in a way that may infringe on the rights of any third party, including any copyright, trademark,
or other intellectual property rights.
Using the Sound Library in any illegal, defamatory, offensive, or immoral manner.
Creating or distributing derivative works that are based directly on the Sound Library (e.g., selling a sample pack made
from our Sound Library).
6. Refunds and Cancellations
All sales are final. Due to the nature of digital products, we do not offer refunds for Sound Library purchases. If you
encounter issues with the product (e.g., corrupted files or incorrect downloads), please contact our support team for
assistance.
7. Support
We offer basic support for the Sound Library, including technical assistance related to downloading or file issues. We do not
offer support for using the Sound Library in your projects.
8. Disclaimer of Warranties
The Sound Library is provided "as-is," and we make no warranties or representations, either express or implied, regarding its
suitability, quality, or fitness for a particular purpose. We are not liable for any damages, including but not limited to loss ofdata, revenue, or profits resulting from your use of the Sound Library.
9. Indemnification
You agree to indemnify, defend, and hold harmless [Your Company Name] and its affiliates, licensors, and employees from
any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of or related to your use of the Sound
Library in violation of this Agreement.
10. Termination
This Agreement will remain in effect until terminated by either party. The Company may terminate this Agreement at any
time if you breach any of its terms. Upon termination, you must cease all use of the Sound Library and destroy any copies in
your possession.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its
conflict of laws principles. Any disputes arising out of or in connection with this Agreement will be resolved in the competent
courts of United Kingdom.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and
supersedes all prior or contemporaneous communications, whether electronic, oral, or written, between the parties.
End User License Agreement (EULA) for Sound Library Purchase
1. Grant of License
By purchasing, downloading, or using the Sound Library, you are granted a non-exclusive, non-transferable, worldwide
license to use the Sound Library under the terms and conditions of this EULA.
Personal Use: You may use the Sound Library in your personal or non-commercial projects.
Commercial Use: You may use the Sound Library in commercial music production, film, TV, advertising, or other
commercial endeavors, provided the terms below are adhered to.
2. Ownership Rights
All rights, title, and interest in the Sound Library remain the exclusive property of the Company. This EULA grants you a
license to use the Sound Library, not ownership of the content.
3. Restrictions
No Resale or Redistribution: You may not sell, distribute, license, sublicense, rent, or lend the Sound Library or any
part of it to third parties.
No Derivative Works: You may not create derivative works based directly on the Sound Library (e.g., reselling or
redistributing the samples, or creating other sample packs).
No Unlawful Use: You may not use the Sound Library in any unlawful, infringing, or harmful way.
No Embedding in Products for Resale: You may not embed the Sound Library into products that are intended for resale
(e.g., music software, sample packs, or sound libraries).
4. Warranty DisclaimerThe Sound Library is provided "as-is," without any express or implied warranty. The Company does not warrant the accuracy,
completeness, or fitness for a particular purpose of the Sound Library.
5. Liability Limitation
The Company is not liable for any damages, including incidental, special, or consequential damages, arising from the use or
inability to use the Sound Library.
6. Termination
This EULA is effective until terminated. The Company may terminate this license if you breach any terms of the EULA. Upon
termination, you must immediately stop using the Sound Library and destroy any copies in your possession.
7. Governing Law
This EULA is governed by the laws of the United Kingdom, and any disputes will be resolved in the competent courts located
within that jurisdiction.
By purchasing or using the Sound Library, you acknowledge that you have read and agreed to these Terms and Conditions
and the End User License Agreement.
